Robert D. Tolz is a member of the Firm’s corporate, banking and taxation practices. Mr. Tolz is also a member of the Firm’s COVID-19 Task Force. He represents clients and prepares and negotiates agreements in a wide variety of commercial contexts, including entity formation and operation, stock and asset sales, mergers, licensing, asset based financing, loans and factoring. Mr. Tolz handles all types of commercial transactions from the simplest organization of a startup business to complex and sophisticated multi-million dollar and multi-party deals.
In addition, Mr. Tolz has helped clients resolve conflicts with the IRS and corresponding New York State and City tax agencies, including, where necessary, litigating in administrative and judicial arenas. His tax expertise allows Mr. Tolz to guide clients through the opportunities and obstacles presented by federal and local tax laws, and provides Mr. Tolz with a distinct perspective in his corporate work. Mr. Tolz graduated from New York University Law School (J.D. and LL.M., Taxation) and Cornell University (B.A.).
